Terms of Service

These Terms of Service govern your use of Miaru — including your account, subscriptions billed through Stripe, and the content you learn from. We aim to keep them fair and easy to understand.

1. Accepting These Terms

These Terms of Service (“Terms”) are an agreement between you and Miaru, LLC (“Miaru”, “we”, “us”) and govern your use of the Miaru websites (miaru.co and app.miaru.co), apps, and related services (together, the “Service”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

2. Eligibility

You must be at least 13 years old (or the age of digital consent in your country, such as 16 in parts of the European Union) to use Miaru. Miaru does not currently offer accounts for younger children or parental controls. By using the Service you represent that you meet this age requirement and that any registration information you provide is accurate.

3. Your Account

You create a Miaru account with your email address and sign in with one-time codes we email to you — there is no password to remember. Because anyone with access to your email inbox could sign in as you, keeping that inbox secure is essential. You are responsible for all activity that happens under your account, and you agree to notify us promptly at hello@miaru.co if you suspect unauthorized use.

Your account is personal to you: one account per learner, and accounts may not be shared, sold, or transferred.

4. The Service & Your License

Miaru grants you a personal, non-exclusive, non-transferable, revocable license to use the Service and its learning content for your own, non-commercial education. We are constantly building: features, courses, and content may change, be added, or be removed at any time, and some features may be offered free while others require a paid subscription.

5. Subscriptions & Billing

Some parts of Miaru require a paid subscription (such as Miaru Plus). Payments are processed by Stripe, our payment provider — when you subscribe, you check out on Stripe’s secure pages and your full payment details go to Stripe, not to Miaru. By subscribing you also agree to any applicable terms of Stripe as the payment processor.

a. Auto-renewal

Subscriptions are offered on monthly or yearly billing periods and renew automatically at the end of each period, at the then-current price, until you cancel. By subscribing, you authorize recurring charges to your payment method through Stripe.

b. Cancellation

You can cancel any time from the billing section of the app, which opens Stripe’s customer portal. Cancellation takes effect at the end of your current billing period: you keep your subscription benefits until then, and you will not be charged again. Except where required by law, payments already made are non-refundable and we do not provide refunds or credits for partial periods.

c. Price changes

We may change subscription prices. If a price change affects your active subscription, we will notify you in advance, and the new price will apply from your next renewal — if you do not agree, you can cancel before the renewal takes effect.

d. Taxes

Prices may exclude taxes. Where applicable, sales tax, VAT, or similar charges are calculated at checkout and shown before you pay.

6. Community & Acceptable Use

Parts of your profile — such as your display name, XP, and streak — may be visible to other learners in features like leaderboards. Choose a display name and username that are not offensive, misleading, or infringing on someone else’s rights; we may change or remove names that are.

When using the Service, you agree not to:

  • Copy, scrape, or redistribute lessons, audio, artwork, or other Miaru content, or use it to build a competing product or train machine-learning models.
  • Reverse engineer, probe, or disrupt the Service, or access it by any means other than the interfaces we provide.
  • Circumvent subscription requirements, tamper with billing, or misrepresent your identity.
  • Use the Service for anything unlawful, or interfere with other learners’ use of it.

We may suspend or terminate accounts that violate these rules.

7. Intellectual Property & Feedback

All lessons, courses, audio, designs, software, and characters — including Luffy and Ai — are owned by Miaru, LLC or its licensors and are protected by copyright, trademark, and other laws. Nothing in these Terms transfers any ownership to you.

If you send us feedback, ideas, or suggestions, you agree that we may use them freely, without restriction or compensation — we read everything, and it genuinely shapes the product.

8. Third-Party Services

The Service relies on third-party providers, including Amazon Web Services (hosting, authentication, and email), Stripe (payments), and Google and Amplitude (analytics — see our Privacy Policy for details). The Service may also link to third-party websites. We are not responsible for third-party services, and your use of them may be subject to their own terms and policies.

9. Termination

You may stop using Miaru at any time, and you can ask us to delete your account and data by emailing privacy@miaru.co (see the Data Deletion page at miaru.co/data-deletion for how that works). We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if we discontinue the Service. Sections of these Terms that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will survive.

10. Disclaimers

Miaru is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Service will be uninterrupted, error-free, or that any particular learning outcome will be achieved — though we work hard on all three.

11. Limitation of Liability

To the maximum extent permitted by law, Miaru, LLC and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from or related to your use of the Service. To the maximum extent permitted by law, our total liability for all claims relating to the Service is limited to the greater of (a) the amount you paid Miaru in the twelve (12) months before the claim arose, or (b) fifty U.S. dollars ($50). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Miaru, LLC from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or your misuse of the Service.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law rules, except where the law of your country of residence requires otherwise. Before filing any claim, you agree to first contact us at legal@miaru.co so we can try to resolve the dispute informally — most issues are solved fastest this way. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Travis County, Texas, unless applicable law gives you the right to bring it elsewhere.

14. Changes to These Terms

We may update these Terms from time to time. If the changes are material, we will post a notice on the website before they take effect, and we will always show the date the Terms were last revised. Your continued use of the Service after changes take effect means you accept the updated Terms. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
